1) Scope and definitions
These Subscription Terms govern the use of the paid plans and packages on the ninorai.com platform, operated by Navia System DPK („Навиа Систем“ ДПК), UIC (ЕИК) 208893566 („Provider“). They form an integral part of the General Terms and Conditions. In the event of a conflict, the more specific clause set out here prevails.
Definitions:
-
Plan: a subscription with a recurring period (month/year/other) that includes specific functionalities.
-
Quantity-based package: access to a fixed number of outputs (e.g. articles).
-
Credit package: digital credits that are deducted when specific features are used.
-
Trial (free trial period): limited access (in time and/or volume), free of charge.
-
User: the natural person/legal entity that has entered into a contract with the Provider.
2) Types of subscriptions and content of the plans
-
Subscription plans: described in detail on the „Plans and Pricing“ page; they include the number of automations/features/limits, support levels and any integrations.
-
Quantity-based packages (e.g. „4 articles“): access ends once the quantity is used up, regardless of the calendar term (unless the package also has a time limit stated on the page).
-
Credit packages: each action reduces the credit balance by the published amount. The available credits and the usage history are visible in the account.
-
Limitations/Fair use: to prevent abuse, the Provider may impose reasonable technical limits (requests/minute/day, output size, caching), published in the documentation/on the plan page.
-
The Provider may update the content of the plans (features/limits); in the event of material changes, it notifies the Users and provides a fair transition period.
3) Term, start and activation
-
Monthly/annual and other recurring plans start from the moment of successfully confirmed payment via Stripe (or another specified provider).
-
The Trial starts from the moment of activation in the account/via the CTA and is limited in time (e.g. 14 days) and/or volume (e.g. 4 articles).
-
For quantity-based/credit packages: the start is upon successful payment; usage begins with the first valid triggering of a feature.
4) Payment, invoicing and taxes
-
Payments are processed through Stripe. Card payments and/or other methods supported by Stripe in the region are accepted.
-
Automatic renewal: recurring plans renew automatically at the end of the period, unless cancelled before the renewal date.
-
Invoices are issued automatically through Stripe and are available in the account/by email.
-
VAT: Prices are shown inclusive of VAT where applicable. For VAT-registered customers in the EU, the reverse charge may apply, subject to a valid VAT number (VIES check).
-
All fees/commissions of payment operators are included in the final price, unless expressly stated otherwise.
5) Trial (free trial period)
-
The Trial may include: 14 days and/or a fixed number of articles (e.g. 4). The specific parameters are stated on the „Plans and Pricing“ page and/or in promotional banners.
-
After the Trial expires, access is suspended unless the User selects a paid plan. If a payment method was provided upon activation of the Trial for a seamless transition, this is expressly indicated; the User may cancel at any time before the date of the paid activation.
-
Right of withdrawal: For digital services started at the User’s request (incl. generation of articles/use of credits), the User confirms that they have been informed and lose their right of withdrawal once performance has begun (in accordance with Directive (EU) 2019/770). In the case of a Trial in which the service has not been triggered, the right of withdrawal is exercised within 14 days of activation.
6) Change of plan (upgrade/downgrade)
-
Upgrade: takes effect immediately. The price difference is charged proportionally (pro-rata) for the remaining period.
-
Downgrade: takes effect from the next period. Current access under the old plan remains valid until the end of the prepaid term.
-
When switching from a plan to a quantity-based package/credit package or vice versa, the rules above apply accordingly.
7) Withdrawal, cancellation and refunds
-
The User may cancel automatic renewal at any time from the account. Access remains active until the end of the prepaid period.
-
Refunds are not made for partially used periods, except:
-
where the service has not been activated and the User validly exercises the statutory right of withdrawal;
-
in the event of a proven material technical malfunction attributable to the Provider, which renders the service unfit for use and is not remedied within a reasonable time after notification (credit/partial refund at the Provider’s discretion).
-
-
A chargeback without prior contact and an attempt at resolution may lead to immediate deactivation and/or blocking of the account.
8) Failed payment and grace period
-
If a renewal fails, Stripe will make repeated attempts at short intervals.
-
In the event of continued non-payment, access may be restricted or suspended.
-
The Provider may grant a grace period of up to 14 days (at its discretion) for restoring access after successful payment. Once it expires, the account may be closed/archived.
9) Usage: limits, expiry and rollover
-
Quantity-based packages: unused units expire on the earlier of the two dates: (a) the end of the package (if it has a term), or (b) 12 months from the purchase (if no term is stated).
-
Credit packages: unused credits expire at the end of the package or 12 months from the purchase (if no term is stated).
-
Rollover: permitted only if expressly stated in the description of the plan/package.
-
The Provider may impose anti-abuse protections (e.g. a cap on concurrent tasks, API rate limits).
10) Support and SLA
-
Active subscribers have access to support at [email protected]; the level (response time/channels) depends on the plan.
-
We make reasonable efforts to ensure continuity, but do not guarantee a 100% SLA. Users will be notified of scheduled maintenance.
-
Incidents caused by third-party infrastructure (hosting, LLM/API providers) are considered force majeure/external and are not subject to compensation, unless otherwise agreed.
11) Data, content and rights
-
The content created through the platform (e.g. articles) is for use by the User in accordance with the General Terms and Conditions. The User is responsible for its lawful use and for respecting the rights of third parties.
-
The User should keep backups/copies of important content. Upon termination/non-renewal, the Provider may retain minimal data for accounting/legal purposes in accordance with the Privacy Policy and the GDPR.
12) Promotions, coupons and affiliates
-
Promo codes/discounts are applied in accordance with the terms in force at the time and cannot be combined, unless stated otherwise.
-
Trials and promotions are at the Provider’s discretion and may be changed/discontinued with prior notice for future activations.
13) Changes to prices and terms
-
The Provider may adjust prices/limits/plan content for future periods. For active subscriptions, advance notice is sent by email/in the account no less than 14 days before the change takes effect.
-
If the User does not agree, they may cancel the renewal before the effective date.
14) Business users vs. consumers
-
Where the subscription is entered into by a legal entity or a person acting in the course of a trade/professional activity, certain rules for „consumers“ under EU law do not apply (e.g. part of the withdrawal regime).
-
For consumers (natural persons acting outside a professional activity), the mandatory provisions of EU law and local law apply.
15) Termination by the Provider
-
In the event of a breach of the General Terms and Conditions/abuse/attempt to circumvent the limitations, the Provider may immediately deactivate access without a refund.
-
In the event of system incidents/security breaches, the Provider may impose temporary restrictions until the risk has been eliminated.
16) Governing law and disputes
The law of the Republic of Bulgaria and applicable EU law apply. Disputes are settled by mutual agreement, and failing that, by the competent court in accordance with the General Terms and Conditions.
